1. Service Description

1. The Platform is a tool which helps and supports Suppliers to sell their products and Buyers to buy these. DIGI SPOSA gives professional sales and purchase assistance to commercial enterprises and connects Buyers and Suppliers through the Platform. However, DIGI SPOSA only acts as a broker between the Clients through the Platform and is not involved in future or existing contracts between the Clients subject to the sale and purchase of any goods.
2. Any content (example of texts, images) shared on the Platform by Clients is hereafter referred to as “Client Content”.
3. DIGI SPOSA reserves the right to change, interrupt or discontinue the operation of its services provided on the Website or Platform at any time, if any of the violations in section 11 are performed. DIGI SPOSA will notify each Client of such an event in advance, if possible.
4. DIGI SPOSA can impose charges for its services at any time and/or change these and shall inform the Client accordingly in text form (at least) as per Sec. 11 In this case, the Client has a termination right according to section 9.

2. Platform Registration

In order for a Client to enter the Platform, each Supplier or Buyer must register for an account on the Platform in the respective section on the Website for ‘Seller (hereafter “Supplier Account”) or ‘Buyer’ (hereafter “Buyer Account”) (Supplier Account and Buyer Account hereafter jointly the “Platform Account”) and provide certain information, such as the name of the business entity as well as the postal address, email address and a password.

Client has a respective value added tax identification number in their profile. If a Client doesn’t provide this information, DIGI SPOSA will charge fees with VAT additionally. VAT charges are not applicable for the Clients outside of European Union.

By registering on the Platform, Client agrees to be bound by these Terms and the DIGI SPOSA Privacy Policy, available at https://www.digisposa.com. By ticking the respective checkbox on the Website, Client accepts these Terms and the Privacy Policy and sends an offer (hereafter “Offer”) to DIGI SPOSA to enter into a contract under these Terms (hereinafter “Contract”).

DIGI SPOSA will then check the information provided by each Client and can accept the Offer by the Client (hereafter “Acceptance”). The Client will then receive a confirmation of the Acceptance by DIGI SPOSA, for example via email, and may then log into his Platform Account.

1. The Platform may only be entered by persons who have the authority to legally bind the Client’s entity and who are of unlimited legal capacity.
2. DIGI SPOSA is a closed Platform. DIGI SPOSA selectively allows chosen Seller and Buyers into the Platform (see section 1 above). However DIGI SPOSA cannot assume responsibility for the authenticity of Seller or Buyers on the Platform.
3. Client is free to modify or delete the entire Platform Account at any time and terminate the contractual relationship with DIGI SPOSA according to section 9.
4. DIGI SPOSA reserves the right to delete Client’s Platform Account if Client has not used his Platform Account for 24 months and does not resume any activities within six (6) weeks after
5. DIGI SPOSA has contacted Client under the email address deposited in the Platform Account, notwithstanding the regulations set out in section 8.
6. Terms and Conditions are only legally binding document between DIGI SPOSA and any Client and they prevail any other document in relationship between DIGI SPOSA and Clients.
7. Suppliers are allowed to send invitation to new buyers to view their profile and collections. Invitations are available only after registering of new client ha request registration by DIGI SPOSA.

3. Account security; Change of data

1. All data requested during the Platform registration process shall be given fully and correctly.
2. The Platform Account is to be secured with a password. Client is obligated to take all suitable and usual measures to ensure that the password is kept confidential. The password must be changed regularly to prevent unauthorized usage. A password must be chosen that is not easy to guess, calculate or determine. Client is obliged to notify DIGI SPOSA by contacting support@digisposa.com without any undue delay if there are signs that its password may have become known to unauthorized third parties or of misuse of his Platform Account by any third party. Client is not authorized to grant the use of the Platform Account opened in his name to any third party.
3. If any data or information provided by Client changes for any reason, Client shall notify DIGI SPOSA immediately via email to support@digisposa.com

4. Order Placement; Sale Options

Each Client joining the Platform gives consent to make business with other clients under the condition they can agree on terms between themselves. Terms and conditions of clients are displayed on their own digital profile. Each Client may search the Platform using the search function and look for different filters, which will help him/ her to discover various clients that could be a subject of his interest.

DIGI SPOSA is not responsible for any problems, disputes or other inconveniences due to contradictory terms and conditions by Suppliers and Buyers.

To place an order to the respective Supplier the Buyer shall act as follows:

1. The Order is an offer made by the Buyer to the Supplier to conclude a purchase agreement. The Buyer place an order in cart (hereafter “Order”). If there are products of more than one Supplier in the cart, multiple Orders must be placed, one for each Supplier.
2. Buyer may edit changes with text, drawing or attach images to supplier’s product by accepting the respective Suppliers’ terms and conditions.
3. When order is placed, It get ‘Needs Approval’ status and it is in ‘Pending Confirmation’ status. The order can be seen by the Supplier now.

The Supplier can now react to the respective Order as follows:

1. Accept the Order – creating a order confirmation binding purchase agreement between Supplier and Buyer. The Order is confirmed and no more changes can be made; or
2. Edit on received order – Supplier can also edit changes to Buyer’s original order. The Supplier will then make a new offer to respective Buyer. The Order is now in ‘Pending Confirmation’ status for the Supplier. Supplier can update prices, offer quantities or give discounts; or
3. Reject the Order – both Supplier and Buyer will be notified through their Platform Account that the Order is rejected and no more changes can be made.

In each case orders must be confirmed from both sides before production.

• DIGI SPOSA is merely an agent brokering between the Suppliers and Buyers. DIGI SPOSA may, however, offer a payment solution on the Platform using an external payment services provider or further services.
• There are two (2) different “Sale Options” to choose from within the Platform: (I) “Inventory” as an option for the Client(s) to buy or sell products which are on stock and can be delivered within (at most) one (1) month after the Order is placed; and (II) “Pre-Order” as an option for the Client(s) to buy or sell all other products displayed on the Platform.

DIGI SPOSA SERVICES & FEES

DIGI SPOSA offers services bound to the Platform and operates only as an agent between the Suppliers, the Buyers and the Service Providers who use the Platform for their interactions.

DIGI SPOSA provides different level of services to SUPPLIERS and BUYERS on the platform and therefore has different fees for each level of service;

SERVICES TO SUPPLIERS:

A) BASIC

1. DIGI SPOSA applies the annual subscription fee of EUR 1800 (plus VAT if applicable) for one (1) user and (1) collection only. All standard services available at the Platform with self service usage by one user.
2. DIGI SPOSA will charge additional only by request of adding extra users, administrator users, additional collection, or additional services.

B) PRO

1. DIGI SPOSA applies the annual subscription fee of EUR 2800 (plus VAT if applicable) for total of one (1) user and one (1) administrator user and (3) collection only. In addition to access to functions like, create and share newsletters, learning center, Rating and review and assistance of our support Team.
2. DIGI SPOSA will charge additional only by request of adding extra users, administrator users, additional collection, or additional services.

C) PREMIUM

1. Recommended for suppliers with more than 5 employees, DIGI SPOSA applies the annual subscription fee of EUR 5400 (plus VAT if applicable) for total of (3) users and (1) administrator user and (8) collections only.
2. DIGI SPOSA will charge additional only by request of adding extra users, administrator users, additional collection, or additional services.

D) ENTERPRISE

DIGI SPOSA applies subscription fee after receiving quote from Enterprise.

IMPORTANT NOTE;

All Suppliers that subscribed in a period from JUNE 18, 2020 until DES 31, 2020 keep unchanged fee of EUR 1800 of annual subscription until end of subscription. Their subscription is considered as PRO service. Our service team will be in touch for your future updates.

SERVICES TO BUYERS:

All bridal retailers have free access to Digi Sposa platform upon received invitation from supplier or Digi Sposa.

DIGI SPOSA will change additional only by request of adding extra users, administrator users or additional services.

PAYMENT METHODS;

Request and update of level of services are available on self service at the platform. Fees can be paid by all major credit cards.

Payment with a standard wire bank transfer is possible on request. DIGI SPOSA will charge Administration fee of EUR 10 to issue an invoice with due date 14 calendar days.

If Clients decides to pay in more than 2 parts an additional fee of 30% will be added (plus VAT if applicable)

DIGI SPOSA is not liable and is not responsible for in particular

1. The fulfillment and delivery of any Order or product as the complete responsibility for fulfilling the Order is with the Supplier;
2. Any damages due to incorrect pricing, inventory information, product description(s) or for not delivering any other information;
3. Verifying the ownership and correctness of the data submitted by the Supplier and/or Buyer;
4. Forged data or product copyright issues.
5. The Services will start as soon as the (first) subscription payment is received by DIGI SPOSA or a proof of payment is provided by the Supplier.
6. If DIGI SPOSA works with third party Service Providers that offer their services to the Clients, but DIGI SPOSA is not liable for any result of collaboration between any Service Provider and Client. DIGI SPOSA only introduces Service Providers to the Clients

6. Suspension of Services

1. DIGI SPOSA may at anytime, at will and without liability, suspend access to the Platform Account and use of the Service upon notice in case of failure to pay Fees owed. Obligation of payment of owed fees will still apply.
2. If Client is late with the payment for more than 7 days from the due date, DIGI SPOSA will charge late payment fee of EUR 20. DIGI SPOSA will send late payment reminder 7 days from the due date and will repeat sending reminders every 7 days until the due balance is paid and each time will charge late payment fee in the amount of EUR 20.

7.Set-Off; Retention Right

Client shall have no right of set-off or retention with respect to any payment under these Terms, except to the extent that the relevant counterclaim has been acknowledged by DIGI SPOSA in legal written form or has been adjudicated by a final, non-appealable judgment

8. Contractual Period; Right of Termination

Client and DIGI SPOSA enter into this Contract for an indefinite period of time. Client may terminate this Contract without cause ONLY:

1. If Client terminates the Contract with 30 days notification prior the anniversary – 12 month contractual period of the subscription and this is the earliest possible termination by the Client; unless/and
2. If DIGI SPOSA introduces new fees (according to section 4 above) with a period of two (2) weeks upon receipt of the information about the introduction of a new fee by DIGI SPOSA.
3. Any declaration of termination by Client shall be made via email to support@digisposa.com
4. DIGI SPOSA may terminate this Contract without cause at any time with a reasonable notice period. Section 11.B.2 remains unaffected.
5. In case of termination and after the expiry of the termination period, the respective Platform Account of respective Client will still be visible to the other connected Clients on the Platform for information purposes and marked as ‘deleted’ or ‘terminated’. Outstanding Fees to DIGI SPOSA and payments to other Clients remain unaffected by the termination by Client.
6. The right to termination for cause remains unaffected

9. Requirements for Clients Content

Any Client Content a Client intends to upload onto the Platform must comply with these Terms and shall especially not contain any prohibited content as set out in section 10 and 11.

10. Rights of Use

1. DIGI SPOSA does not claim ownership of any Client Content. However, by uploading or otherwise publishing any Client Content on the Platform, Client grants DIGI SPOSA a non-exclusive, worldwide, royalty-free, sub-licensable right to use the respective Client Content for the purposes of the operation and marketing of the Platform limited to the area displayed to registered Clients only as well as newsletters, blog entries, social media and further marketing activities. This includes the right to integrate the Client Content on the Website and on DIGI SPOSA´s and its affiliated companies’ other websites (hereafter the “Websites”) as well as advertising material. In particular, Client DIGI SPOSA the following rights of use:
2. The right of reproduction, public accessibility and dissemination, in particular, the right to store, transfer and reproduce the Client Content using every technology available, especially by means of incorporation within the framework of the Website and/or Websites and the right to make the Client Content available on the Platform to the public, publicly reproduce, transmit and to broadcast;
3. The right to edit, if necessary for the availability or publication of the respective Client Content;
4. The right to use the Client Content for advertising purposes, in particular the right to reproduce, disseminate and make publicly accessible the Client Content for advertising and marketing purposes including the right of DIGI SPOSA to change and to process the Client Content for the purposes mentioned and in particular to combine or integrate it with other pictures, text, graphics, artworks, films, audio and audio-visual media.
5. In case of the removal of any Client Content from Client’s Platform Account or the deletion of Client’s Platform Account by either Client or DIGI SPOSA for whatever reason, DIGI SPOSA ´s rights to the respective Client Content shall expire. However, the right to use the Client Content in advertising material that is already in use and the right to use any Client Content that Client has shared on other Clients profiles will remain unaffected.

11. Prohibited Use

A) Client shall use the Platform in accordance with these Terms and any applicable law(s) regarding the respective Client’s entity. Any inappropriate or illegal use is prohibited. It is particularly, without limitation, forbidden:

1. to upload and distribute pornographic, insulting, abusive, offensive, racist, threatening, youth protection law infringing, personal rights infringing, or other illegal Client Content;
2. to upload and distribute Client Content that has been copied in whole or in any part from any other protected work or material without the permission of the respective copyright owner;
3. to upload and distribute Client Content that affects or infringes the rights of any third party, in particular personal rights, copyrights or other intellectual property rights or any other third party rights;
4. to provide incorrect data or information, and to provide data or information of any third party (without authorization);
5. to use other Clients’ data and information without their express permission;
6. to sell or otherwise transfer the Platform Account without the explicit consent granted by DIGI SPOSA.
7. to attack the Platform with a virus, malware or any other harmful means;
8. to use any automated tools for using the Platform Account without the explicit consent granted by DIGI SPOSA.
9. to alter, to manipulate, to bypass, to overload or interfere with the Platform and its underlying software and security systems.

B)

1. DIGI SPOSA reserves the right to refuse the upload of any Client Content and to delete or remove any uploaded Client Content that, at DIGI SPOSA ´s sole discretion, violates these Terms, any third-party rights or any applicable law(s) or Client Content that seems for any other reason unacceptable or inappropriate.
2. DIGI SPOSA has the right to block Client’s Platform Account temporarily or permanently if there are concrete reasons for DIGI SPOSA to believe that Client violates these Terms, any third-party rights or any applicable law(s). In the event of permanent blocking or deletion, Client is not entitled to open up a new Platform Account or to use any other existing account.

12. Client’s Warranties

1. Client is solely responsible for his Platform conduct. Client warrants that he /she will use his/her Platform Account and the Platform in accordance with these Terms. Client especially warrants that he /she will not use the Platform in any prohibited way as set out in section 11.
2. Client is solely responsible for his/her Client Content and for any private and public obligations and liabilities in connection with its relationship to the Buyer or Supplier respectively. Client warrants that the Client Content submitted to or otherwise published on the Platform are in accordance with these Terms and do not infringe any third-party rights or any applicable law(s). Client warrants that it is sole owner of all rights to its Client Content or otherwise authorized (e.g. by valid permission of the rights owner) and capable of effectively granting DIGI SPOSA the rights of use and exploitation.
3. Client warrants that it will transact business with other Clients solely by means of the Platform and the services of DIGI SPOSA if such transactions were initiated on the Platform.
4. Client shall immediately inform DIGI SPOSA of any violation of these Terms or any prohibited Platform use by third parties that he may become aware of.

13. Indemnification

1. Regardless of any further claims and rights, Client shall indemnify DIGI SPOSA , its representatives, employees and agents against any claims by third parties, including the costs of reasonable legal counsel, regarding (I) the conduct of the Client on the Platform and/or Client Content and/or (II) violations of these Terms by the Client.
2. In cases of an aforementioned enforcement of claims by any third party, Client will provide DIGI SPOSA with all available information that is needed for the examination of the claim and for the defense against it. Client will provide such information immediately, truthfully and completely.

14. Liability of DIGI SPOSA

1. DIGI SPOSA tries to keep the Platform and its services safe, secure and functioning but cannot guarantee the continuous operation or access of the services. DIGI SPOSA has no obligation to make the Platform available to the Client.
2. DIGI SPOSA shall not be liable for the availability, accuracy, completeness, up-to-dateness and legality of any Client Content. DIGI SPOSA shall not be liable for any misconduct by Clients or any third party.
3. DIGI SPOSA will take reasonable measures to provide a stable and powerful Platform in cooperation with its service partners and data processing centers. However, failures in service of the Platform, especially due to malfunctions or maintenance work cannot be ruled out.
4. DIGI SPOSA shall not be liable for Client damages unless they result from the violation of a major contractual obligation. Major contractual obligations are obligations whose fulfillment is a necessary requirement for the due execution of the contract and in whose fulfillment the Client may generally trust. Liability for consequential damages, especially loss of profit or third party damage compensation is also barred, unless DIGI SPOSA caused the damages intentionally or by gross negligence.
5. DIGI SPOSA´s joint and several liability regarding matters in connection with these Terms is limited to EUR 1,000.00. DIGI SPOSA is not liable for unforeseeable damages or damages that are atypical for this type of contract as well as for indirect or consequential damages.
6. The above liability limitations do not apply for damages to life, body or health that result from an at least negligent breach of duty by DIGI SPOSA or an intentional or negligent breach of duty by DIGI SPOSA´s vicarious agents. Also, the above liability limitations do not apply to liability for further damages that result from an at least grossly negligent breach of duty by DIGI SPOSA or an intentional or grossly negligent breach of duty by DIGI SPOSA ´s vicarious agents. Furthermore, DIGI SPOSA´s strict liability for initial defects to the software is hereby excluded.
7. The limitation and/or restriction of DIGI SPOSA ´s liability also applies to the personal liability of its legal representatives, employees, vicarious agents and other agents.

15. Data and Privacy

1. Both Client and DIGI SPOSA shall act in accordance with the regulations of the COUNTRY Data Act.
2. DIGI SPOSA only processes and uses personal data in accordance with its Privacy Policy https://www.digisposa.com

16. Miscellaneous

1. DIGI SPOSA reserves the right to change these Terms at any time without indicating the reasons. DIGI SPOSA will notify Client of the changed Terms on the Website or via email no later than two (2) weeks before the refined terms will take effect. In case Client objects to the new Terms, he/ she may terminate this Contract without cause with a period of two (2) weeks upon receipt of the information by DIGI SPOSA regarding the refined terms via email or after displaying the refined terms on the website, whichever is the sooner.
2. Client shall not be entitled to transfer or assign any rights or claims under these Terms without the prior written consent of DIGI SPOSA.
3. The headings are solely for purposes of reference and for convenience and shall not be used for purposes of interpretation or in any way affect the meaning or interpretation of these Terms.
4. These Terms shall not grant any rights to and are not intended to operate for the benefit of third parties unless otherwise explicitly provided for herein.
5. These Terms shall be governed by and construed in accordance with the laws of country under exclusion of the UN Convention on the International Sale of Goods (CISG), without prejudice to any mandatory conflict of laws.
6. The sole place of jurisdiction for all disputes arising under the Terms is CITY- COUNTRY , unless the applicable law mandatorily requires other procedures.
7. Should any provision of these Terms be or become invalid, ineffective or unenforceable as a whole or in part, the validity, effectiveness and enforceability of the remaining provisions shall not be affected thereby.

INTRODUCTION

PRINCIPLES OF THE DIGI SPOSA PRIVACY POLICY

DIGI SPOSA does not rent or sell your Personal Information. We don't share your Personal Information with anyone except to comply with the law, to provide a service you have requested, to protect our rights, or as provided in this Privacy Policy. We don't store Personal Information on our servers unless required for the on-going operation of one of our Services.

DIGI SPOSA receives and records information on our server logs from your browser, including your IP address, cookie, and the page you request in order to operate the Services. DIGI SPOSA may use analytic tools or services to view aggregate statistics about the usage of the Services. Some of this information is derived from Personal Information. This statistical information is not Personal Information and cannot be tied back to you, your Account or your web browser. EDITING AND DELETING ACCOUNT INFORMATION

You can delete your Account username at any time according to DIGI SPOSA's Terms & conditions. You can edit and change other Account information at any time. You can delete your Account at any time from your Account page; however, please note that your identification and contact information may remain in DIGI SPOSA's records for some period. If you delete your Account, any association between your Account and information we store will no longer be accessible through your Account. However, given the nature of sharing on the Services, any public activity on your Account prior to deletion will remain stored on our servers and will remain accessible to the public unless requested to be removed.

DATA SECURITY AND CHANGE OF CONTROL

Your Account information is password-protected. You need to prevent unauthorized access to your Account and Personal Information by selecting and protecting your password appropriately and limiting access to your computer and browser by signing off after you have finished accessing your Account.
